We provide performance-driven digital marketing services, including:

  • Paid advertising (Google Ads, Meta Ads, TikTok Ads)
  • Tracking & analytics (GA4, GTM, Conversion APIs, server-side tracking)
  • Funnel optimization & conversion rate improvement
  • CRM setup, automation, and lead nurturing systems

Each project or engagement is defined by a separate agreement, proposal, or written confirmation.


2. Engagement & Access

To deliver results effectively, you agree to:

  • Provide timely access to required platforms (ad accounts, website, analytics, CRM)
  • Share accurate business and product information
  • Respond to requests or approvals within a reasonable timeframe

Delays in access or communication may impact performance, timelines, and outcomes.


3. Fees & Payment Terms

  • All fees are agreed in advance and must be paid as per the agreed schedule
  • Services may be paused or withheld in case of delayed payment
  • All payments are non-refundable unless explicitly stated otherwise in writing

Important: Advertising spend is paid directly by you to the respective platforms (e.g., Google, Meta) and is not included in our service fees.


4. Performance Disclaimer

We focus on data-driven growth and measurable performance. However:

  • We do not guarantee specific results (including revenue, ROAS, leads, or conversions)
  • Outcomes depend on multiple external factors including market conditions, competition, offer quality, and user behavior

We commit to applying best practices, proven strategies, and continuous optimization.


5. Accounts & Compliance

You retain full ownership of:

  • Advertising accounts
  • Data and analytics
  • Business assets

You are responsible for ensuring that your business complies with:

  • Platform policies (Google, Meta, TikTok, etc.)
  • Applicable laws and regulations

We are not liable for account suspensions or restrictions caused by policy violations or external factors.


6. Intellectual Property

Unless otherwise agreed:

  • All strategies, systems, frameworks, and internal processes developed by us remain our intellectual property
  • You retain ownership of your brand assets, creatives, and data

We reserve the right to use anonymized performance data or case studies for portfolio and marketing purposes.


7. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

  • Business information
  • Campaign data and performance
  • Proprietary strategies and systems

We do not sell, rent, or share your confidential information with unauthorized third parties.


8. Third-Party Tools & Integrations

Our services may involve third-party platforms and tools, including but not limited to:

  • Advertising platforms (Google, Meta, TikTok)
  • Analytics tools (GA4, GTM)
  • CRM and automation platforms

We are not responsible for:

  • Platform outages or technical issues
  • Changes in platform algorithms or policies
  • Data discrepancies caused by third-party systems

9. Limitation of Liability

To the maximum extent permitted by law:

  • We shall not be liable for any indirect, incidental, or consequential damages
  • Our total liability is limited to the amount paid for our services during the preceding billing period

10. Termination

Either party may terminate the engagement with written notice, subject to any agreed notice period.

We reserve the right to suspend or terminate services immediately if:

  • Payments are overdue
  • Terms are violated
  • Fraudulent, misleading, or unethical practices are identified

11. Refund Policy

All fees are non-refundable unless otherwise agreed in writing.


12. Updates to Terms

We may update these Terms periodically. Continued use of our services constitutes acceptance of any updates.


13. Governing Law

These Terms shall be governed by the laws of Bangladesh, without regard to conflict of law principles.
